Involvement in Other Companies and Industry Bodies (including Irish Malt Exports and the Irish Maltsters’ Association), 1939-91

JHB involvement in and dealings with Irish Malt Exports Ltd, and Irish Malt Products Ltd, and the Irish Maltsters’ Association and other industry bodies, 1939-89. The former two companies, IME and IMP, were controlled by AGS. The main function of both was to manage and operate the export of malt and malt products to other markets. JHB, in addition to being a supplier to both companies, held shares in them and was often represented on their Board. The Irish Maltsters’ Association was an industry representative body, which JHB participated in with AGS approval [see B609/1/A/26, above]. The IMA’s role in negotiating wage rates within the industry is further documented at B609/5/D below. B609/4/E/1 Memorandum and Articles of Association, Irish Malt Exports Limited, incorporated 27 September 1957. Prepared by Fred Sutton & Co, solicitors, Dublin. IME is described as a company limited by shares. Present inside front cover is a letter to shareholders notifying them of an annual general meeting to be held on 30 January 1969 to consider a resolution regarding a recommendation of the Board of Directors regarding distribution of a sum standing to the company’s general reserve, to pay up in full unissued ordinary shares.

B609/4/E/2 Draft new Articles of Association for Irish Malt Exports Ltd, with a covering letter to shareholders circulated in advance of an Extraordinary General Meeting to be held on 12 September 1968.

B609/4/E/3 Memorandum and Articles of Association, Irish Maltsters’ Association, incorporated 16 May 1963. Described as a company limited by guarantee and not having a share capital. A letter dated 13 August 1963 from John T Sinnott, Secretary, forwards the articles to JHB and requests a guarantee for £100 as required under clause 8 on page 6. It is noted that the guarantee is required before JHB can be elected as a member of the Association in its reconstructed form.
